Ascentis Labs Terms of Service

Effective Date: July 10, 2025

1. Services

Ascentis Labs provides AI-driven automation design, build, and support services ("Services") as outlined in individual proposals or contracts.

2. Client Obligations

• Provide timely access to required data, systems, and approvals
• Supply accurate project requirements and feedback
• Obtain and maintain all necessary third-party access or permissions

3. Fees & Payment

• Fees are defined in your signed agreement
• Invoices are due within 15 days
• Late payments may incur a 1.5% monthly interest
• Work may pause if payment is over 30 days late

4. Intellectual Property

• You retain ownership of your original data and inputs
• Upon full payment, you receive a non-exclusive, perpetual license to use final deliverables for your internal business use
• Ascentis Labs retains ownership of all underlying tools, frameworks, models, and systems used in delivery

5. Confidentiality

Both parties agree to protect each other's confidential information and not disclose it without written consent, unless required by law.

6. No Guarantees

Ascentis Labs does not guarantee specific results, outcomes, or business performance improvements from use of its services.

7. Limitation of Liability

• Liability is limited to total fees paid in the 6 months preceding the claim
• Ascentis Labs is not liable for indirect, incidental, or consequential damages

8. Termination

• Either party may terminate for material breach with 10 days' written notice if the breach is not resolved
• Upon termination, all work completed to date is billable

9. Retainer Agreements

Where applicable, ongoing support or retainer services will be governed by separate written agreements.

10. Governing Law

This Agreement is governed by the laws of Ontario, Canada. Disputes will be resolved via binding arbitration in Toronto under the Arbitration Act of Ontario.
